Eitherの英語表現について教えてください。

eitherの意味

英文契約書の中でよく出てくるeitherという表現は、二つの中で、「いずれか一方」、「いずれも」と訳されます。Either party may terminateという場合は、「いずれの当事者も」という形で、AとBの二人がいる場合に、「どちらも」という文脈で使われます。Eitherの後の名詞は単数形になります。また、either A or Bという場合は、AとBの「いずれの場合であっても」という意味で使われます。Either directly or indirectly（直接又は間接的に）というような形で用いられます。

Anyの意味

Anyは3つ以上の物や人がいる場合で、その中のいずれであってもという意味になります。例えば、Any of the parties may termination this agreement at any time.という場合は、3人以上の当事者を前提に、「どの当事者もいつでも本契約を解除できる。」という意味になります。

Neitherの意味

Eitherが肯定的な表現であるのに対して、否定表現としてNeitherという言葉があります。「いずれも～でない。」という意味になります。Neitherの言葉の中には、否定の意味が含まれていますので、その後に来る動詞は（多くの場合）肯定文で書かれます。例えば、Neither party shall be prevented from disclosing information（いずれの当事者も情報を開示することが禁止されていない）というようになります。Neitherは、「2つ（2人）のうち、両方とも～でない。」という形で主語となるものの数が二つ（又は二人）の場合に使われます。Neitherの後の名詞は単数形になります。

NoneまたはNoの意味

３つ以上の物または3人以上の人を主語として、否定形で書く場合、None ofとか、No ～という表現が用いられます。None of the parties may terminate this agreement.という場合は、「いずれの当事者も本契約を解除できない。」という意味になります。

eitherのサンプル１

This Agreement shall be effective from the Effective Date for a term of three (3) year; provided, however, that either Party may terminate this Agreement at any time prior to the expiration of the three (3) year term by giving written notice of termination to the other Party.

（訳）本契約は、契約書の効力発行日から3年間有効である。但し、いずれの当事者も他方当事者に対して文書により通知することで本契約を解除することができる。

eitherのサンプル２

This Agreement or any part of this Agreement may not be assigned or transferred by either party without the prior written consent of the other party. Any assignment or transfer without such consent shall be null and void.

（訳）本契約書及び本契約書のいかなる部分についても、他方当事者の文書により事前の了解がない限り譲渡または移転することができない。

（解説）この例文では、動詞の部分が「may not be」と否定的に使われています。その結果、「either party（いずれの当事者も）～できない。」という意味になります。主語をNeitherに置き換え、neither party may assignとすることも可能です。否定的な意味の文章の中でneitherが主語になる場合は、動詞は否定形になりません。一方、neitherが二重否定で用いられる場合もあります。例えば、Neither party may not terminate this agreementという表現では、neitherもmay notも否定的意味ですので、二重否定となります。この場合は、「いずれの当事者も本契約を解除できないわけではない。」という意味になり、いずれの当事者も本契約を解除できるということになります。

Confidential Information means any information disclosed by the Disclosing Party to the Receiving Party, either directly or indirectly, in writing, orally or by inspection of tangible objects (including, without limitation, documents, samples, software, flowcharts, graphical layouts and descriptions, plant and equipment), which is designated as “Confidential”.

（訳）秘密情報とは、直接又は間接に、文書、口頭又は有体物（文書、サンプル、ソフトウェア、フローチャート、グラフィカル・レイアウト及び説明文、工場及び設備を含むがこれに限られない）の検査によるものであるかどうかを問わず、開示当事者から受領当事者に開示された全ての情報で、「秘密」と指示されているものをいう。

eitherのサンプル４

This Agreement shall be renewed for successive one year, unless either party notifies in writing the other party of its intent not to renew at least ninety days prior to expiration of initial term or any renewal term.

（訳）本契約は、本契約の有効期限又はその延長期限の満了日の90日前までに、契約更新をしない旨の意思表示を文書により相手方当事者に通知しない限り、さらに1年間更新されるものとする。

Either of the Parties hereto shall not, and shall cause its employee, agents, consultants or subcontractors or their employees, agents or consultants not to (a) use any funds for unlawful contributions, gifts or entertainment or for other unlawful expenses or (b) make any unlawful payment to foreign or domestic government officials or employees or to foreign or domestic political parties or campaigns, whether or not such contributions, gifts, or entertainment, expenses or payments are facilitation payments.

（解説）この例文でも、主語はEitherとなっていますが、動詞は、shall notと否定形になっていますので、意味としては、「いずれの当事者も～しない。」という意味になります。なお、Either party（いずれの当事者も）という場合は、Eitherの後のpartyの名詞は単数形になりますが、Either of the partiesは、「複数の当事者の中のいずれも」という意味になり、この場合は、partyの単語は複数形になります。
