In the event thatの意味

英文契約書の中でよく出てくるin the event thatは、「～の場合には」、「～が発生した場合には」という意味になります。一定の前提条件が満たされた場合に法的効力が発生する場合で、その前提条件を記載する場合に用いられます。前提条件については、主語と述語を伴う節の形で作成されることもありますし、in the event ofとして前提条件がofの後の名詞や句の形で書かれることもあります。節にするか、名詞や句のどちらにするかは、前提となる条件を正しく記載するのにどちらの方が書きやすいかという観点から決められます。

In the event that（～の場合には）のサンプル１

In the event that either party hereto should commit a material breach of and/or gross negligence of its obligations under this Agreement and if such defaulting party has not cured such breach and/or negligence not later than sixty (60) days after having received a written notice of breach and/or negligence from the non-defaulting party, the non-defaulting party shall have the right to terminate this Agreement forthwith by giving a written notice of termination to the defaulting party at any time within thirty (30) days after the lapse of said sixty(60) days.

（訳）一方の当事者が本契約に定める義務について重大な契約違反を犯し、又は重大な過失を犯した場合、契約違反をしていない当事者からの契約違反又は過失についての文書による通知を受領した後60日を超えない期間内に違反当事者がその違反及び過失を改善しない場合、契約違反をしていない当事者は、上記60日の期間の経過後30日以内に、違反又は過失を犯した当事者対して文書による解除通知を送ることによって、直ちに本契約を解除することが出来る。

（解説）契約解除の前提条件として、どのような条件が満たされた場合に契約解除ができるかを記載しています。複数の前提条件が満たされることが必要な場合には、それぞれの条件をandでつないで記載します。上記の例では、重大な契約違反の発生と、60日以内に改善がなされなかったことの二つが前提条件となっています。

（訳）万一、買主が、売主の発行した送り状の全額を期日に支払うことができない場合には、買主は、支払日から支払われる日までの期間について年360日のベースで計算した年率14パーセントの割合による遅延利息を支払う。

（解説）ここでも、遅延損害金の発生という法的効果が生じる前提条件として、支払期限に支払いがなかったことという前提条件が示されています。

In the event that Company enters into an agreement with the Buyer as a result of Agent’s service hereunder, Company shall pay ongoing monthly commissions to Agent at the amount equal to 20% of the sale amount of which Company has received from the Buyer from the first day of the month to the last day of the month.

（訳）本契約に基づくエージェントのサービスの結果、会社が買主と契約を締結した場合、会社は、毎月1日から末日までに会社が買主から受領した販売額の20％に相当する額の手数料をエージェントに対して継続的に支払うものとする。

（解説）ここでも、販売手数料が発生するという法的効果が発生するための前提条件として、会社と買主との間に契約が成立した場合という条件が書かれています。

In the event that this Agreement is executed in both the English and Japanese language, the English text shall govern in the event of any discrepancies.

（訳）契約書が英語と日本語で作成されている場合、食い違いがある場合には、英語版によるものとする。

（解説）最初のin the eventは、「本契約書が英語と日本語で作成されている場合」という条件を節の形で記載しています。一方、後のin the event of any discrepanciesは、ofの後が名詞となっています。もし、後者も節にする場合は、in the event there are any discrepanciesと書くことになります。In the eventの後に記載される条件は、当事者が積極的（能動的）に行動することで満たされる場合だけではなく、この例に記載しているように一定の状態にあること（ここでは英語と日本語で書かれていること）を条件とする場合もあります。
