notwithstandingについて教えてください。

notwithstandingとは

英文契約書の中でよく出てくる言葉の中にnotwithstanding（～にかかわらず）という言葉があります。すでに述べられた記述（原則）の例外について規定する場合に使われます。例えば、前の記述の中で、当事者は相手方当事者に責任を負わないという記述があったとしても、「そのような記述に拘わらず、故意による不法行為があった場合には責任を負う」というような形で用いられます。ここでは、「相手方当事者に責任を負わない」というのが原則であり、「故意による不法行為の場合は責任を負う」というのが例外ということになります。

Notwithstanding article 7.2 hereof, the parties shall obey to the instructions from the governmental authorities.

（訳）本契約書の7.2条の規定にも拘わらず、両当事者は、政府機関の指示に従う。

（解説）7.2条では外部からの指示には従う必要がないということが記載されている中で、7.2条の規定に拘わらず、政府機関から指示があった場合にはその指示に従うという内容になります。Notwithstandingは前置詞で、直後に記載された7.2条という言葉と一緒になって、7.2条に拘わらずという句を構成します。カンマ以降が主節になり、原則の例外を規定しているということになります。

Notwithstanding anything to the contrary in this Agreement, in no event shall seller be liable to purchaser or to any third party for any special, indirect, incidental, punitive or consequential damages arising out of this agreement.

（訳）本契約に矛盾する規定があっても、売主は、本契約から生じる特別、間接、偶発的、懲罰的、または結果的な損害について、購入者または第三者に対して責任を負わないものとします。

（解説）notwithstanding anything to the contrary in this Agreementは決まり文句として英文契約書の中で多く用いられます。「本契約書の中のいずれかの部分で異なる規定があったとしても」という意味になります。上記の例でいえば、当事者としては、特別損害、間接損害、偶発的損害、懲罰的損害、結果的損害については、どのような場合であっても責任を負わないということを規定したいと考えています。しかし、契約書のどこかの部分でこれと異なる定め（例えば、結果損害についても損害賠償責任があると解釈される可能性がある契約条項）がある可能性があります。どこの部分にそのような条項があるかが明確である場合には、「notwithstanding article ●」と書くことで、「●条に拘わらず～である。」ということを規定することができます。しかし、損害賠償を負うと解釈される可能性がある規定が契約書の色々なところに散らばっていたり、そのような契約条項を完全に拾い上げることが出来ないような場合には、個別の条項を指摘することが難しくなります。そこで、「仮に本契約書の中のどこかの部分でこれに反する規定があったとしても」、本契約の一切の規定の例外として、間接損害などについては責任を負わないということを明確にすることができます。

If either party suffers any damage because of the other party’s default, such non-defaulting party may claim compensation for damages, notwithstanding whether the non-defaulting party terminates this Agreement or not under the said paragraph.

（訳）いずれかの当事者が、他方当事者の債務不履行により損害を被った場合は、債務不履行を犯していない当事者は、当該規定に基づき本契約の解除をしたかどうかにかかわらず、損害の賠償を請求することができる。

Notwithstanding the foregoing, the Buyer, in its sole discretion, to the extent possible under any applicable laws or regulations of any governmental authority, shall have the right to terminate any and all existing employees of Company and Buyer will not be obligated to hire any past or present employees of Company or which were hired by Seller.

（訳）上記に拘わらず、買主は、その判断により、適用される法令及び政府規制の範囲内において、現在存在する会社の従業員との雇用契約を解除することができる。また、買主は、売主が採用した過去または現在の会社の従業員を雇用する義務を負わない。

Notwithstanding the foregoing, in the event that Seller finds that is cannot effect delivery on the delivery date, Seller shall immediately notify Buyer of such delay and shall effect delivery immediately, using all available means, provided that such delivery by Seller shall not restrict in any way Buyer from making a claim against Seller for damages accrued from such delay.

上記にかかわらず、売主が納品日に納品を行うことができないと判断した場合、売主は直ちにその旨を買主に通知し、あらゆる手段を用いて直ちに納品を行うものとする。ただし、売主による納品は、買主が売主に対してその遅延から生じた損害について請求する権利を如何なる意味においても制限するものではない。
