subject toの表現について教えてください。

Subject toの意味

英文契約書の中でよく出てくるsubject toは、「～を条件として」、「～に従って」という意味になります。契約における権利の発生について一定の条件を付けるような場合に使われます。相手方当事者はこの条件を満たした場合にのみ、その権利を行使することが出来ます。但し、subject toの言葉は、「～の対象となる」という意味や、「～に服従する」という意味で使われることもあります。前後の文脈から意味を特定していく必要があります。

Subject to（～を条件として）のサンプル１

Licensor hereby grants to Licensee, subject to the limitations, restrictions and conditions herein contained, a non-exclusive, non-transferable license, royalty free, without the right to sublicense, to use Patent and Know-How only for the purpose of manufacturing Products in the Territory. The Parties especially confirm that Licensee shall not use Patent and Know-How for any other purpose other than manufacturing Products in the Territory.

（訳）ライセンサーは、本契約により、ライセンシーに対して、本契約に包含された制限、規制及び諸条件に従うことを条件に、テリトリー内において本製品の製造を行う目的に限定して特許、ノウハウを使用する、サブライセンス権なしの、譲渡不可・非独占的、ロイヤルティなしのライセンスを許諾する。両当事者はテリトリーにおける本製品の製造目的以外の目的でライセンシーが特許及びノウハウを使用しないことを確認する。

（解説）ライセンサーによるライセンスは、「本契約に包含された制限、規制及び諸条件に従うことを条件」とするものであることが明示されています。権利付与の前提条件として、一定の義務を果たすことが求められます。このような場合に、権利付与の前提条件についてsubject toを用いて記載することになります。Subject toの後には、契約の条件や、subject to Article 5のような形で契約条項の番号等が記載されることが多くあります。

Subject to（～を条件として）のサンプル２

This Agreement will commence on the Effective Date and continues in effect for two (2) years, unless terminated earlier in accordance with this Section 10 (the “Term”). If not sooner terminated, this Agreement will renew at the end of the initial Term for a further term of three (3) years (“subsequent Term”). The renewal of this Agreement for a subsequent Term is subject to the parties reaching prior written agreement on terms and conditions.

（訳）本契約は、第10条に基づき事前に解除される場合を除き、効力発生日から2年間有効である（「契約期間」）。より短い期間で解除される場合を除き、最初の契約期間の満了から3年間更新される（「更新期間」）。但し、更新期間への契約更新については、契約条件について当事者が事前に合意することを条件とする。

（解説）契約に書かれている条件（契約条項）に従うことを効力発生の条件とするのではなく、「当事者間における事前の合意」という契約に記載されたのとは別の条件を効力発生（契約の更新）の条件としています。効力発生を一定の条件に従わせる表現としては、subject toの他に、on the condition thatなどの形や、in the event thatのような形もあります。

Subject to（～の対象となった場合）のサンプル

Subject toは、「～を条件として」という意味の他に、「～の対象となった場合」、「～に服従した場合」という意味で使われることがあります。

The Party may immediately terminate this Agreement without any notice to the other Party when the other Party has been subjected to compulsory execution such as seizure, provisional seizure, or provisional disposition.

（訳）当事者は、相手方当事者について差押え、仮差押え、仮処分等の強制執行が行われたときは、相手方当事者に対して通知を行うことなく、本契約を直ちに解除することができる。

（解説）このサンプルでは、「相手方当事者が、compulsory execution（強制執行）の対象となった場合」ということで、subject toが、「ある手続きの対象となる」という意味で使われています。Subject toが前置詞ではなく、動詞として使われています。

Subject to（服従する）のサンプル

Any dispute arising out of or in connection with this Agreement or the transactions contemplated by this Agreement (including any tort and other non-contract claims) shall be subject to the exclusive jurisdiction of the Tokyo District Court.

（訳）本契約及び本契約に基づく取引に関する全ての紛争（不法行為及びその他の契約法以外の請求を含む）については、東京地方裁判所の専属的管轄に服するものとする。

（解説）このサンプルでは、subject toは、東京地裁の裁判管轄に「服従する」という意味で使われています。
