To the extentの意味

英文契約書の中でよく出てくるto the extentは、「～の範囲で」、「～の限りで」、「～の場合には」という色々な意味で使われます。「～の範囲で」、「～の限りで」という場合は、一定の条件を付けることで、対象となる場面、程度、範囲を限定する場合に用いられます。一方で、「～の場合には」という意味で用いられる場合には、法的効果の発生の前提条件として、～の条件が満たされた場合にはという意味で使われることがあります。

Licensee may change or modify the technical data furnished to Licensee by Licensor hereunder if, as and to the extent that Licensee shall be required to suit to local conditions and/or to improve the Products.

（訳）ライセンシーは、本製品を現地の条件に適合させ、及び/または改良を施すのに必要な程度まで本契約に基づきライセンサーがライセンシーに供与した技術情報に変更または修正を加えることができる。

（解説）一定の場合には、ライセンシーが技術情報に変更または修正を加えることが出来るとしたうえで、変更または修正を加えることができる場合と、その範囲については、「本製品を現地の条件に適合させ、及び/または改良を施すのに必要な程度」に限定しています。ここでは、to the extentという言葉は、このような範囲と程度を限定するものとして用いられています。

The Receiving Party shall not disclose or leak any Confidential Information related to the Disclosing Party to any third party without obtaining the prior written approval of the Disclosing Party; provided, however, that the Receiving Party may disclose Confidential Information related to the Disclosing Party in any of the cases described below; provided, however, that any such disclosure shall only be to the extent reasonably necessary; and provided, further, that in the cases described in items (1) and (2) below, the Receiving Party shall impose obligations of confidentiality, which are substantially the same as those which the Receiving Party owes to the Disclosing Party hereunder.

To the extent that Licensee may acquire, during the term of this Agreement, any rights in or to any Trademark, other than those rights granted to Licensee under this Agreement, Licensee acknowledges that all such rights shall inure to the benefit of Licensor.

Neither party herein shall be liable to the other for any delay or a failure to perform its obligations under this Agreement if and to the extent such delay or failure in performance arises from any cause or causes beyond the reasonable control of the party affected (“Force Majeure”).
