Strategic Alliance Agreement

This Strategic Alliance Agreement (“Agreement”) is made and entered into the first day of May 2021 (“Effective Date”) by and between A Corporation, a company duly organized and existing under the laws of Japan, having its principal office of business at ● (“Party A”) and B Corporation, a company duly organized and existing under the laws of California, United States, having its principal place of business at ● (“Party B”).

WHEREAS, Party A and Party B wish enter into a strategic alliance to increase profits of both parties by utilizing each party’s management resources and management know-how;

NOW, THEREFORE, in consideration of the promises, rights and obligations set forth below, the parties hereby agree as follows:

Article 1 Scope of Strategic Alliance

The parties shall jointly engage in the business set forth below for the development and cultivation of AI business analysis systems in Japanese market.

1. Planning and development of AI analysis systems in Japanese market.
2. Promotion of the products relating to AI analysis.
3. Verification of laws and regulations relating to the application of AI systems in medical diagnose.
4. Other business necessary for the promotion of AI analysis systems.
