Joint Venture Agreement
This Joint Venture Agreement (“Agreement”) is made and entered into the first day of May 2021 (“Effective Date”) by and between A Corporation, a company duly organized and existing under the laws of Japan, having its principal office of business at ● (“Party A”) and B Corporation, a company duly organized and existing under the laws of New York, United States, having its principal place of business at ● (“Party B”).
WHEREAS, the parties desire to establish between them a joint venture in order to collaborate in the sale and marketing of Cosmetic Chemistry Products (“Products”) in the market of USA.
NOW, THEREFORE, in consideration of the promises, rights and obligations set forth below, the parties hereby agree as follows:
Article 1 Establishment of Joint Venture
The joint venture formed by this Agreement (“Newco”) will conduct its business under the name Cosmo Chemical Co., Ltd., and will have its registered address at 1 West 301, Brox, NY 10400. Newco shall be considered a joint venture between the Parties in all respects, and in no event shall this Agreement be construed to create a partnership or any other fiduciary relationship between the Parties.
