Franchise Agreement
This Agreement made and entered into July 1, 2022 ("Effective Date") by and between ●● Co., Ltd., a corporation organized and existing under the laws of Japan with its principal place of business at 1-1-1, Kasumigaseki, Chiyoda-ku, Tokyo, 100-0000, Japan ("Franchisor"), and ●● Co., Inc., a corporation organized and existing under the laws of California, with its principal place of business at ●●, California, USA ("Franchisee").
WHEREAS
WHEREAS, Franchisor has developed the creative management system ("Know-How") and the trademarks and service marks ("Service Marks") described in the Exhibit A attached hereto, relating to the marketing and provision of the services described in the Exhibit B ("Services").
WHEREAS, Franchisee desires to use the Know-How and Service Marks to provide the Services in the United States of America.
WHEREAS, Franchisor desires to provide certain training and other services and grant a license to Franchisee in accordance with the terms and conditions set forth hereinafter.
NOW, THEREFORE, in consideration of the premises and mutual covenants and other agreements contained herein, the Parties hereto agree as follows:
Article 1 (License of Franchises and Service Marks)
Franchisor grants to Franchisee a license to use the Service Mark and to provide the Services using the Know-How developed by Franchisor at the stores described in Article 3 (the "Contracted Stores"), upon the condition that Franchisee shall subject to the terms and conditions of this Agreement.
Article 2 (Relationship between Franchisor and Franchisee)
The Parties agree that Franchisor and Franchisee are independent business entities, and Franchisee does not represent Franchisor in any manner whatsoever, and Franchisor is not bound by any representations made by Franchisee.
