Agency Agreement

This Agreement (“Agreement”) is made and entered into upon July 1, 2022 ("Effective Date"), by and between ●● Co., Inc., a corporation organized and existing under the laws of California, with its principal place of business at ●●, California, USA ("Company") and ●● Co., Ltd., a corporation organized and existing under the laws of Japan with its principal place of business at 1-1-1, Kasumigaseki, Chiyoda-ku, Tokyo, 100-0000, Japan ("Agent"), collectively the “Parties” and individually the “Party.”

WITNESSETH:

WHEREAS, the Parties desire to sell the Products described on the document attached hereto as Exhibit A (the “Products”), in Japan (the “Territory”); 

WHEREAS, Company desires to appoint Agent as an intermediary, and Agent is willing to find a target for sale the Products (the “Buyer”) in the Territory and mediate a sale and purchase of the Products between Company and the Buyer;

NOW THERFORE, in consideration of the promises, rights and obligations set forth below, the Parties hereby agree as follows: 

Article 1 Appointment

During the term of this Agreement, Company appoint Agent as its exclusive agent for the sales of the Products and Agent accept such appointment.

Article 2 Parties’ Relationship

Nothing in this Agreement shall be construed to create an employer-employee relationship between the Parties.
