Loan Agreement
This Loan Agreement (“Agreement”) is made and entered into upon July 31, 2022 ("Effective Date"), by and between Yamada Trading Co., Ltd., a corporation organized and existing under the laws of Japan with its principal place of business at Toyo Building 5F, 1-1-1, Kasumigaseki, Chiyoda-ku, Tokyo, 100-0001, Japan ("Lender") and ●● Co., Inc., a corporation organized and existing under the laws of California, with its principal place of business at ●●, California, USA ("Borrower"), collectively the “Parties” and individually the “Party.”
WITNESSETH:
WHEREAS, Lender is willing to lend the Loan Amount as defined below to Borrower in accordance with the terms and conditions hereinafter;
WHEREAS, Borrower desires to borrow the Loan Amount from Lender; and
NOW THERFORE, in consideration of the promises, rights and obligations set forth below, the Parties hereby agree as follows:
Article 1 Loan Amount
The Parties agree that Lender shall loan Borrower USD 200,000 (the "Loan Amount").
Article 2 Interest Rate
The Interest rate for the Loan shall be 3% per annum calculated on the basis of a year of 365 days.
