OEM Supply Agreement

This Agreement made and entered into on August 30, 2022 (“Effective Date”) by and between ●● Co., Inc., a corporation organized and existing under the laws of Japan with its principal place of business at ●●, Chiyoda-ku, Tokyo, 100-0000 Japan (“Buyer”), and ●● Co., Ltd., a corporation organized and existing under the laws of California, USA with its principal place of business at ●●, California, USA (“Seller”).

WHEREAS

WHEREAS, Buyer desires to Seller to manufacture certain products which Buyer will purchase and thereafter market, sell and distribute under its own tradename and trademarks throughout the world;

WHEREAS, Seller has represented to Buyer that it has sufficient and requisite expertise to manufacture such products; and

NOW THERFORE, in consideration of the premises and mutual covenants and agreement hereinafter contained, the Parties hereby agree as follows:

Article 1 Supply of the Products

Seller shall manufacture the products (“Products”) in strict accordance with the specifications, standards, and other instructions provided by Buyer, and Seller shall sell those Products with such trademarks, tradenames, and other marks as Buyer may designate (“Marks”).

Article 2 Prohibition of Sale to third party

Seller shall deliver and sell all Products exclusively to Buyer and shall not sell, market, export or distribute any of the Products to any third party. Further, Seller shall not pledge or create any security interest on any part of the Products.
