Trademark License Agreement

This Agreement made and entered into this first day of May 10, 2024 (“Effective Date”) by and between ●● Co., Ltd., a corporation organized and existing under the laws of California, USA with its principal place of business at ●● (“Licensor”) and Yamada Co., Ltd., a corporation organized and existing under the laws of Japan with its principal place of business at ●●, Chiyoda-ku, Tokyo, 100-0000 Japan (“Licensee”).

WHEREAS

WHEREAS, Licensor is owner of the trademark ● in word form and in all style and design variations used to date by Licensor or its authorized licensees (the “Mark”);

WHEREAS, Licensee desires to obtain a license to use the Mark in connection with its business operated by Licensee;

WHEREAS, Licensor agrees to grant, and Licensee desires to accept, a license to use the Mark on its Goods;

NOW THERFORE, in consideration of the premises and the mutual covenants herein contained, the Parties hereby agree as follows:

Article 1 Definition

For the purpose of this Agreement, the following words as used herein shall have the following meanings;

The word of “Goods” means the goods as specified in Exhibit A of this Agreement.

The word of “Territory” means the geographical area of Japan.
